EUROLOGISTIK WORKFORCE

Business Terms & Policies (B2B)

1. INTRODUCTION

These Business Terms & Policies (“Agreement”) govern the provision of staffing, workforce, logistics, retail, warehouse, and operational support services provided by eurologistik workforce (“Company”, “we”, “our”, or “us”) to business customers (“Client”, “Customer”, or “you”).

By engaging our services, the Client agrees to comply with and be bound by these terms.

3. SERVICES

eurologistik workforce provides workforce and operational support services including, but not limited to:

 Retail staffing

 Stockroom support

 Warehouse staffing

 Logistics support

 E-commerce fulfillment support

 Pick & pack operations

 Inventory support

 Temporary workforce solutions

 Operational support services

The scope, duration, and details of services shall be agreed separately in writing between the Company and the Client.

4. CLIENT RESPONSIBILITIES

The Client agrees to:

 Provide a safe and compliant working environment

 Ensure all operational instructions are clear and accurate

 Inform eurologistik workforce of workplace risks or hazards

 Provide necessary access, credentials, and onboarding information

 Comply with all applicable laws and workplace regulations

The Client remains responsible for the management of its internal operations and site-specific compliance requirements. 

 

5. STAFFING & WORKFORCE CONDITIONS

eurologistik workforce will use reasonable efforts to provide qualified personnel according to the Client’s requirements.

However:

 We do not guarantee uninterrupted workforce availability

 Staffing requests are subject to operational capacity and availability

 Workforce schedules may be adjusted due to operational circumstances, illness, emergencies, or force majeure events

The Company reserves the right to replace assigned personnel when necessary.

6. HEALTH & SAFETY

The Client is responsible for maintaining a safe workplace environment in accordance with Danish health and safety legislation.

The Client must immediately inform eurologistik workforce of:

 Workplace accidents

 Security incidents

 Injuries involving assigned staff

 Unsafe working conditions

eurologistik workforce reserves the right to remove personnel from unsafe environments. 

 

7. CONFIDENTIALITY

Both parties agree to keep confidential all non-public business, operational, financial, and commercial information obtained during the cooperation.

Confidential information may not be disclosed to third parties unless:

 Required by law

 Approved in writing by the other party

Necessary for operational execution

This obligation remains valid after termination of the cooperation.

8. DATA PROTECTION (GDPR)

eurologistik workforce processes personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR).

Personal data will only be processed for legitimate business and operational purposes.

We implement reasonable technical and organizational measures to protect personal information against unauthorized access, loss, misuse, or disclosure.

9. PRICING & PAYMENT TERMS

Pricing and rates shall be agreed separately in writing.

Unless otherwise agreed:

 Payment terms are net 14 days from invoice date

 Late payments may be subject to interest and recovery costs according to applicable Danish law

 Invoices are issued electronically

The Client is responsible for reviewing invoices promptly and notifying the Company of any disputes within 5 business days.

 

10. CANCELLATION & CHANGES

The Client agrees to provide reasonable notice for cancellations or schedule changes.

eurologistik workforce reserves the right to charge cancellation fees for:

 Last-minute cancellations

Confirmed shifts cancelled without reasonable notice

 Significant operational disruptions caused by Client changes

Specific cancellation conditions may be agreed separately.

11. LIABILITY LIMITATION

eurologistik workforce shall not be liable for:

 Indirect or consequential losses

 Loss of profits

 Loss of business opportunities

 Operational downtime caused by factors outside our reasonable control

Our total liability related to services provided shall, to the maximum extent permitted by law, be limited to the total invoiced amount for the specific services giving rise to the claim.

Nothing in these terms excludes liability where exclusion is prohibited by law.

12. FORCE MAJEURE

eurologistik workforce shall not be held liable for delays or failure to perform obligations caused by circumstances beyond reasonable control, including but not limited to:

 Natural disasters

 Government actions

 Labor disputes

 Transportation disruptions

 Pandemics

 Power outages

 Security incidents

13. NON-SOLICITATION OF STAFF

The Client agrees not to directly hire, solicit, or engage employees or workers introduced by eurologistik workforce during the cooperation period and for a period of 12 months thereafter without prior written agreement.

If breached, eurologistik workforce reserves the right to charge a recruitment or transfer fee.

14. TERMINATION

Either party may terminate the cooperation with written notice in accordance with separately agreed commercial terms.

eurologistik workforce reserves the right to terminate services immediately in cases involving:

 Unsafe working conditions

 Illegal conduct

 Non-payment

 Serious breach of agreement

 Threatening or abusive behavior

15. INTELLECTUAL PROPERTY

All branding, operational materials, documents, processes, and content provided by eurologistik workforce remain the property of the Company unless otherwise agreed.

16. GOVERNING LAW & JURISDICTION

These terms shall be governed by and interpreted in accordance with the laws of Denmark.

Any disputes arising in connection with these terms shall be subject to the jurisdiction of the Danish courts.

17. ETHICAL STANDARDS

eurologistik workforce is committed to:
